Wait, I thought back in X-Factor they retconned it so that Phoenix wasn't really Jean Grey.  So, this is Phoenix, not Jean Grey, right?  I guess this means no chance for an old-school Marvel Girl Jean Grey.  Is pre-furry Beast still okay?

It is not Jean Grey, they do not call her that in this game. But it is a way of identifying her because of her kind of generic/mistakable name.  
 
Also, she might just have to be on a team of mine. Not sure, though.

Awesome, I'm so glad they made "Dark Phoenix" implemented as an actual meaningful buff to the character instead of just having a red pallet swap like 90% of other games Phoenix has been in.

Capcom has been over this already, they won't put him in any fighting games because they can't think of enough moves for him. That's the reason why he wasn't in Tatsunoko Vs. Capcom.

Actually, what it makes you realize is how low a voice Jennifer Hale uses for Lady Shepard, and impresses me with her range.  Hale's Naomi Hunter has a sweeter higher lilt, and Bastila is the same but BRITISH, but Lady Shepard sounds downright guttural in comparison, sounds completely gruff.
 
She must have kids or something, because she totally has the range of a Nolan North, but doesn't do nearly as much work.
 
My ideal game would be Nolan North and Jennifer Hale as the main characters, backed by Yuri Lowenthal as the cute guy, Laura Bailey as the cute girl, Liam O'Brien as the dark-but-good guy, Steve Blum as the big guy, and Fred Tatasciore as the villain.

@KuribosShoe Because to be competitive at a MvC game you need to be constantly using meter. 5 meter can easily be used to save the lives of ANY of your charactwrs multiple times or kill off 2 of the other guy's characters.

Not only can you not use supers while sitting on 5 bars, you also stop generating additional meter so in reality, this super can cost you 7+ full meters easily. Basically you're cripping your offense and your defense to bet on yourself losing.

Worthless.

@StarvingGamer: Actually not true. Think of it as a fair version of Jin from Marvel vs. Capcom 2. Remember Jin's ability increased his offense and defense as long he was the last member of the team and his health was at about 25% or so. No one goes into the fight expecting to lose, the ability is merely a precaution. It automatically activates if she dies with 5 ST bars. 
 
Also, if you take a look at that final Dark Phoenix form again, her projectiles have doubled and her attack is increased but at the same time her health drains to even out the ability. This move can be used even she isn't the last person in a team which makes this tactic especially dangerous. The reason being is that a team of 3 becomes a team of 4. I don't understand why you think that sacrifices offence and defense. You get a 4th super powered version of your 3rd character. I am pretty sure that a 4 vs 3 fight is sure to make a interesting fight. This kind of character can change the game completely very much how Jin did. Someone skilled enough could completely annihilate a person using this ability.  I know for me, my friends and I normally get down to our 3rd characters in Marvel vs. Capcom 2. If we both had a character down to 1% health and one of us had Phoenix then game over. Phoenix goes from 1% to 100% Health with the projectiles and offensive power doubled. 
 
It is not that the player choosing her is expecting to lose, it is more of a last resort/precautionary move. The same way Jin was used. 
 
Just thought I would inform you why this move is not "Worthless". Every move has a purpose, the move wouldn't be put in the game otherwise.

For Phoenix you would need to stock 5 full super meters.  Again this means that you cannot use ANY meter for offense or defense.  No extending combos, no safe tagging, which are two things that are being done constantly at high levels of play.  Serious MvC players that actually want to win are rarely going to be sitting at more than 3 meters at any given time.
 
Or think of it this way, if you're sitting on a full stock of 5 meters but still manage to do well enough to beat the other person after you go into Dark Phoenix mode, that means you were doing well enough to have beaten the other guy completely before Phoenix even died.  Since you stop generating meter once you're at full stock, in reality you're wasting 6+ meters of potential offense and defense that could easily be used to deal 1.2 characters worth of damage or save the lives of ANY of your characters 3 or more times.
 
If I'm at 1% and you're at 1% and you didn't use any meter to beat me, I deserve to lose regardless of Dark Phoenix.  But if you're not using supers and we're of equivalent skill, then you're going to be at 1% and I'll be at ~120% at which point it's going to be boringly simply to zone out Dark Phoenix with advancing guard, supers and assists until her tiny life bar burns itself out.
 
Winning with Dark Phoenix is like winning with Dan, it's possible but only if you significantly out play your opponent.
